Legislation passed eliminating the ban on general solicitation – a company can advertise that they are raising capital and how they are doing it. |
2. | Maximum raises per year for Reg CF moved up to $5M per year. Online portals act as closing venues. |

A new micro-offering exemption from Securities and Exchange Commission (SEC) registration requirements will be introduced, allowing companies to raise up to $500,000 in a 12-month period without requiring potentially extensive filings. |

Reg D provides an exemption for accredited investors to raise unlimited amounts from unlimited numbers of investors. Companies can then move forward with a Reg A and uplisting to NASDAQ or NYSE. Or, HNW and Accredited Retail as core investors and as add-on investors respectively. |
